1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Tercel Group (“we”, “us”, “our”) governing your use of the PostPip social media post scheduler application (“Service”, “Software”, “Application”).

By subscribing to, accessing, or using PostPip, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Service Description

PostPip is a browser-based software application that enables users to:

  • Create and schedule social media posts
  • Organize content using tags and channels
  • Upload and manage media files (images and videos)
  • Customize the application’s appearance and settings
  • Store all data locally in the user’s web browser

Important: PostPip is a scheduling and organization tool only. It does not automatically publish posts to social media platforms. You must manually copy and publish content to your social media accounts.

3. Eligibility

You must be at least 16 years of age to use this Service. By using PostPip, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscription and Payment Terms

4.1 Subscription Model

PostPip operates on a monthly subscription basis at £5.00 (or equivalent in your local currency) per month. Payment is processed through Stripe, our third-party payment processor.

4.2 License Key System

Upon successful payment, you will receive a monthly license key delivered to your registered email address. This license key:

  • Is valid for 30 days from the date of issuance
  • Must be activated in the application to unlock functionality
  • Is validated locally in your browser and remotely every 7 days
  • Is personal to you and may not be shared or transferred

4.3 Automatic Renewal

Your subscription will automatically renew on a monthly basis unless cancelled before the renewal date. You will be charged the then-current subscription fee at each renewal period. A new license key will be automatically generated and sent to your email address upon each successful renewal payment.

4.4 Payment Authorization

By providing payment information, you authorize us (through Stripe) to charge the subscription fee to your designated payment method. You are responsible for maintaining valid payment information. If payment fails, your subscription may be suspended or terminated.

4.5 Price Changes

We reserve the right to modify subscription pricing with 30 days’ advance notice. Price changes will not affect your current billing cycle but will apply to subsequent renewal periods. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Cancellation and Refunds (Consumer Rights Act 2015)

5.1 Your Right to Cancel

Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Consumer Rights Act 2015, you have specific cancellation rights:

14-Day Cooling Off Period: You have the right to cancel your subscription within 14 days of your initial purchase without providing a reason. However, by using the Service and requesting immediate access to the digital content, you expressly agree that:

  • We may begin providing the Service immediately
  • You acknowledge this waives your right to a refund if you use the Service during the 14-day period
  • If you do not use the Service during the 14-day period, you may cancel and receive a full refund

5.2 How to Cancel

You may cancel your subscription at any time by:

  • Managing your subscription through your Stripe customer portal
  • Contacting us at Support@tercelgroup.com

Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the expiration of your current license key (up to 30 days).

5.3 Refund Policy

Refunds are provided in accordance with the Consumer Rights Act 2015:

  • Within 14 days of initial purchase (if Service not used): Full refund
  • Within 14 days of initial purchase (if Service was used): No refund (you waived this right by using the digital content)
  • After 14 days: No refunds for partial months; cancellation prevents future charges
  • Service Failure: If the Service fails to work as described or has significant defects, you may be entitled to a repair, refund, or price reduction under the Consumer Rights Act 2015 (see Section 9)

5.4 Processing Refunds

Approved refunds will be processed within 14 days and returned to your original payment method via Stripe.

6. User Responsibilities and Acceptable Use

6.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your license key
  • Securing your email account used for subscription management
  • Ensuring your payment information is current and accurate
  • All activity that occurs using your license key

6.2 Prohibited Uses

You agree not to:

  • Share, sell, or transfer your license key to others
  • Attempt to reverse engineer, decompile, or extract the source code
  • Circumvent or attempt to bypass license validation mechanisms
  • Use the Service for any unlawful purpose or in violation of these Terms
  • Use the Service to create, store, or schedule content that is illegal, defamatory, harassing, or infringes intellectual property rights
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use automated systems (bots) to access the Service beyond normal usage

6.3 Content Responsibility

You are solely responsible for all content you create, upload, and schedule using PostPip. You represent and warrant that:

  • You own or have necessary rights to all content you upload
  • Your content does not violate any third-party rights (copyright, trademark, privacy, etc.)
  • Your content complies with all applicable laws and regulations

We do not monitor, review, or have access to your content as it is stored locally in your browser.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its design, code, features, functionality, and related materials, is owned by Tercel Group and is protected by UK and international copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights to the Service.

7.2 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during your active subscription period.

7.3 Your Content

You retain all ownership rights to content you create or upload to PostPip. Since your content is stored locally in your browser, we do not claim any rights to your content and do not access it.

8. Data Storage and Backup

8.1 Local Storage

All your posts, media files, and application data are stored exclusively in your web browser’s local storage (LocalStorage and IndexedDB). This means:

  • Data persists only on the specific browser and device where you use PostPip
  • Clearing your browser data will permanently delete all your PostPip content
  • Uninstalling your browser or using a different browser/device will not have access to your data
  • We do not have access to, cannot retrieve, and do not back up your content

8.2 Your Backup Responsibility

IMPORTANT: You are solely responsible for backing up your content. We strongly recommend:

  • Regularly exporting or copying your important content
  • Maintaining backups of any media files you upload
  • Not relying on browser storage as your only copy of important data

We are not liable for any loss of data due to browser data deletion, device failure, or any other cause.

9. Service Quality and Consumer Rights (Consumer Rights Act 2015)

Under the Consumer Rights Act 2015, digital content must be:

  • Of Satisfactory Quality: The Service should be of a standard that a reasonable person would consider satisfactory
  • Fit for Purpose: The Service should work as described and be suitable for its intended purpose
  • As Described: The Service should match its description

9.1 Your Remedies for Defective Service

If the Service does not meet these requirements:

  • Right to Repair or Replacement: You may request that we repair the Service or provide alternative access
  • Right to Price Reduction or Refund: If repair is not possible or not done within a reasonable time, you may be entitled to a price reduction or refund
  • Time Limits: You have 30 days from discovery of a fault to reject the Service for a full refund; after 30 days, you may still be entitled to a repair, replacement, or partial refund

9.2 Reporting Issues

If you experience issues with the Service, please contact Support@tercelgroup.com with details of the problem. We will investigate and respond within 5 business days.

10. Service Availability and Modifications

10.1 Service Availability

While we strive to maintain continuous availability, we do not guarantee uninterrupted access to:

  • License validation services (7-day grace period for offline validation)
  • Payment processing through Stripe
  • Our support email services

10.2 Maintenance and Updates

We may perform scheduled maintenance or updates to improve the Service. We will provide reasonable notice for planned maintenance that may affect Service availability.

10.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service with 30 days’ notice. If we make substantial changes that materially reduce functionality, you may cancel your subscription for a pro-rated refund.

11. License Validation and Internet Connectivity

11.1 Validation Requirements

The Service requires periodic internet connectivity to validate your license key:

  • Initial activation requires internet connection
  • Re-validation occurs every 7 days
  • You may use the Service offline for up to 7 days between validations

11.2 Validation Failure

If license validation fails (due to expiration, cancellation, or payment failure), the Service will be locked until a valid license is provided. You will not lose your data, but access will be restricted.

12. Termination

12.1 Termination by You

You may terminate these Terms at any time by cancelling your subscription. Your access will continue until your current license key expires.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately if:

  • You breach these Terms
  • You engage in fraudulent activity or payment disputes
  • Your use poses a security risk to the Service or other users
  • Required by law or regulation

We will provide notice and opportunity to remedy the breach unless immediate termination is necessary.

12.3 Effect of Termination

Upon termination:

  • Your license to use the Service ends immediately
  • You will not receive refunds for unused portions of your subscription (except as required by law)
  • Your data remains in your browser’s local storage (we do not delete it)
  • Provisions that should survive termination (warranty disclaimers, liability limitations, dispute resolution) remain in effect

13. Warranties and Disclaimers

13.1 Service Warranties

We warrant that:

  • The Service will perform substantially as described in our documentation
  • We will use reasonable skill and care in providing the Service
  • We have the right to provide the Service to you

13.2 Disclaimers

Subject to your statutory rights under the Consumer Rights Act 2015:

  • The Service is provided on an “as is” and “as available” basis
  • We do not warrant that the Service will be error-free or uninterrupted
  • We do not guarantee compatibility with all browsers or devices
  • We are not responsible for data loss due to browser issues, device failure, or user error
  • We do not warrant that the Service will meet your specific requirements

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under UK law

14. Limitation of Liability

14.1 Liability Limitations

To the fullest extent permitted by UK law and subject to Section 13.2 above:

  • Our total liability for any claims arising from your use of the Service is limited to the amount you paid for the Service in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or special damages
  • We are not liable for loss of profits, revenue, data, business opportunities, or goodwill
  • We are not liable for data loss due to browser issues, device failure, or circumstances beyond our reasonable control

14.2 Consumer Rights Protection

Nothing in this Section 14 affects your statutory rights as a consumer under UK law, including rights under the Consumer Rights Act 2015.

15. Indemnification

You agree to indemnify, defend, and hold harmless Tercel Group, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your breach of these Terms
  • Your content or any intellectual property infringement related to your content
  • Your violation of any law or third-party rights

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

16.2 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at Support@tercelgroup.com to attempt to resolve any dispute informally. We commit to working in good faith to resolve disputes within 30 days.

16.3 Alternative Dispute Resolution

If informal resolution fails, you may choose to use alternative dispute resolution services:

  • Online Dispute Resolution: EU/UK Online Dispute Resolution platform (for eligible consumers)
  • Arbitration: Voluntary arbitration through a mutually agreed service

16.4 Jurisdiction

Any legal proceedings must be brought in the courts of England and Wales. As a consumer, you may also bring proceedings in the courts of your country of residence.

17. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Failures of third-party services (Stripe, Cloudflare, internet infrastructure)
  • Cyberattacks or significant technical failures

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tercel Group regarding the Service and supersede all prior agreements, understandings, or representations.

20. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets with notice to you.

21. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

22. Updates to Terms

We may update these Terms periodically. We will notify you of material changes by:

  • Updating the “Last Updated” date
  • Displaying a notice in the application
  • Sending an email to your registered email address

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription.
